Membership Agreement

1. The Services

Actuated Marketing, LLC dba Oklahoma Marketing Club ("The Company") will provide access to its

proprietary software platform designed to enhance business operations, client relationship management,

lead generation, and other related activities. The platform includes:

- Real-time reporting dashboard

- Lead communication, follow-up, calendars, reviews, funnels management

- Some services are done for the client by the company, while others require
credits added by the client when the initial credits are used up,

with a minimum of $10.00 per reload

- Costs of some services include:

- Each tracking phone number

- Minutes

- Text messages

- Auto texts

- Conversations

- Responding to reviews for the client

- Per email validation

2. Client Requirements

- Client agrees to provide all necessary information for onboarding onto the

platform and get on the onboarding call in a timely fashion.

- After 30 days of no contact from Client to The Company, The Company may assume Client
is no longer in need of The Company’s services and may terminate the Agreement...

in this event, all unpaid fees will be due and collectable at the time of termination

3. Compensation and Payment

- For the Services described in Section #1, the Client has two choices for plans to pay The Company:

Option 1: Month to Month Plan which has:

- A one-time setup fee of $149 for "Account Setup and Onboarding"

- plus $297.00 for the first month and $297 each additional month, due every 30 days;

or

Option 2: Annual Plan which has:

2 months FREE and FREE "Account Setup and Onboarding" with the first payment due today of $297 * 10 months or $2,970.00 saving $743.00 for the year and $2,970 due every 365 days (1 time per year) for each year service.

- Client chooses membership option when signing up, either invoice will automatically be deducted from Client’s payment method on file (required)

- Client understands that their payment information will be saved on file for their future transactions until terminated per Section #5 below.

- Client Satisfaction is only used on the Month to Month plan, to pause the billing if movement is not seen on their Google Business Profile within 30 days from the start of our service to help them get higher on Google Maps

4. Term

- The effective date: Date of First Payment by Client

- This Agreement will commence on the effective date and will continue for a minimum period of 30 days if Month to Month, or 12 Months if Annual Membership, and will continue on the membership time basis unless otherwise terminated by either Party

5. Termination

- This Agreement may not be terminated prior to 30 days after the date of first payment by either party

- If Client desires to terminate the Services, they must submit a written request at least thirty (30) days prior to the desired date of termination

- No refunds are available after 24 hours of the payment being made on either plan

6. Ownership of Materials & Proprietary Information

- All proprietary information, including the software and its features, remains the property of The Company

and cannot be replicated, redistributed, or used outside the scope of this Agreement

- Any information shared between the Parties shall be treated as confidential and proprietary

7. License

- Client is granted a limited, non-transferable, non-exclusive license to use the software

provided by The Company solely for its business operations as per this Agreement

8. Additional Services

- All services outside the scope of this Agreement, requested by the Client and

which The Company agrees to perform, will be billed at $200 per hour

9. Limitation of Liability

- The Company shall not be liable for any incidental, consequential, indirect, or special

damages arising from the use or non-performance of the Services

10. Handling of Disputes

- All disputes regarding this Agreement will be handled in accordance with applicable Oklahoma State

and Federal laws in the district court of Oklahoma County

11. Communications

- Client agrees that communication is to be via support in the clients account,

- If Client wishes to speak on the phone, Client should contact the company in their account,

stating that they would like to schedule a phone call, and The Company will work with the Client to arrange a time

12. Entire Agreement

- This Agreement is the final and exclusive Agreement between the Parties

13. Severability, Headings, Interpretation, and Enforcement

- Any provision found to be unenforceable will not affect the rest of this Agreement

14. Jurisdiction

- This Agreement shall be governed by and construed in accordance with the laws of the State of Oklahoma. Any disputes arising out of or related to this Agreement shall be resolved through binding arbitration or litigation in the District Court of Oklahoma County, Oklahoma, and the parties hereby consent to the exclusive jurisdiction and venue of such courts. By making the first payment, the Client acknowledges that they have read, understand, and agree to be bound by this jurisdiction provision
